TERMS AND CONDITIONS FOR VALUTEL MESSAGING CAMPAIGN

1. INTRODUCTION
These Terms and Conditions (“Terms”) govern your participation in ValuTel LLC’s (“ValuTel,” “we,” “our,” or “us”) text message notification program (the “Program”). By opting in to receive text messages from ValuTel, you agree to these Terms. If you do not agree to these Terms, do not opt in to the Program.
2. PROGRAM DESCRIPTION
The Program provides ValuTel customers with account notifications, service updates, and promotional offers related to telecommunications services via text message. Standard message and data rates may apply to all messages sent to you or from you through the Program.
3. ENROLLMENT AND CONSENT
3.1 Opt-In Methods
You may enroll in the Program through one of the following methods:
- Completing and submitting an online form on our website
- Providing verbal consent during a customer service call
- Texting a designated keyword to our short code
3.2 Express Written Consent
By enrolling in the Program, you expressly consent to receive recurring automated promotional and transactional text messages from ValuTel at the mobile number you provided, even if your number is listed on any state or federal Do Not Call list. Consent is not required as a condition of purchasing any goods or services.
3.3 Message Frequency
You may receive approximately 4-6 messages per month, including account notifications, service updates, and promotional offers. Message frequency may vary based on your account activity and preferences.
4. OPTING OUT
4.1 Opt-Out Methods
You may opt out of the Program at any time by:
- Replying “STOP” to any text message you receive from us
- Calling our customer service at 800-867-3458
- Emailing your request to support@valutel.net
4.2 Confirmation
Upon receiving your opt-out request, we will send you a one-time confirmation message and you will no longer receive text messages from ValuTel. If you opt back in, these Terms will apply again.

6. ELIGIBILITY AND RESTRICTIONS
6.1 Eligibility
To participate in the Program, you must:
- Be 18 years of age or older
- Be a resident of the United States
- Provide a valid mobile phone number that you own or are authorized to use
6.2 Restrictions
The Program is void where prohibited by law. Text messages may not be available via all wireless carriers. Carriers are not responsible for delayed or undelivered messages.
7. COSTS AND CHARGES
ValuTel does not charge for sending text messages through this Program. However, message and data rates may be applied by your mobile carrier. ValuTel is not responsible for any fees charged by your carrier.
8. PROGRAM MODIFICATIONS OR TERMINATION
8.1 Modifications
ValuTel reserves the right to modify these Terms or any aspect of the Program at any time. We will notify you of material changes by sending a text message or by other means as required by applicable law.
8.2 Termination
ValuTel reserves the right to suspend or terminate the Program or your participation in the Program at any time, with or without notice, for any reason.
9. PRIVACY

10. LIMITATIONS OF LIABILITY
10.1 Service Availability
Text message services are not available in all areas at all times. We are not responsible for any delays or failures in the receipt of any text messages as delivery is subject to effective transmission from your mobile service provider.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VALUTEL BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER ARISING OUT OF OR CONNECTED WITH THE USE OR MISUSE OF THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ValuTel, its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise from: (a) your violation of these Terms; (b) your use of the Program; or (c) your violation of any rights of a third party.
12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any principles of conflicts of law.
12.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Program shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Wyoming, and the judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
13. MISCELLANEOUS
13.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
13.2 Assignment
ValuTel may assign these Terms in whole or in part at any time. You may not assign your rights or obligations under these Terms without ValuTel’s prior written consent.
13.3 Entire Agreement
These Terms constitute the entire agreement between you and ValuTel with respect to the Program and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ValuTel with respect to the Program.
